Welcome to the KineticLoom, a data analytics Software-as-a-Service (SaaS) platform (the “Service”). These Terms and Conditions (“Terms”) govern your access to and use of the Service. By accessing or using the Service, you (“You,” or “Your”) agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS.

1. Access to the Service

  • 1.1. License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes of testing and evaluating the Service.
  • 1.2. Restrictions: You shall not, and shall not permit others to:

2. Data

  • 2.1. Your Data: You retain all right, title, and interest in and to any data, information, or material that you upload or provide to the Service (“Your Data”). You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of Your Data.
  • 2.2. License to Your Data: You grant KineticLoom a limited, non-exclusive, royalty-free, worldwide license to use, process, and display Your Data solely for the purpose of providing and improving the Service.
  • 2.3. Data Analytics Output: The Service may produce certain analytics, reports, or insights based on Your Data (“Analytics Output”). While we strive for accuracy, you acknowledge that the Analytics Output may contain errors or inaccuracies. You are solely responsible for any decisions or actions you take based on the Analytics Output.
  • 2.4. Data Privacy: Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. If you are subject to the General Data Protection Regulation (GDPR) or other data protection laws, you are the data controller of your personal data and we are the data processor.

3. Intellectual Property

  • 3.1. Our Intellectual Property: KineticLoom owns all right, title, and interest, including all related intellectual property rights, in and to the Service and any suggestions, ideas, enhancement requests, feedback, or recommendations provided by you or any other party relating to the Service.

4. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KINETICLOOM AND ITS LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND DISCLAIM ANY AND ALL SUCH WARRANTIES.

5. Limitation of Liability

IN NO EVENT SHALL KINETICLOOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE OR ANY OTHER ASPECT OF THESE TERMS. UNDER NO CIRCUMSTANCES WILL KINETICLOOM’S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO KINETICLOOM FOR THE SERVICE.

6. Term and Termination

  • 6.1. Term: These Terms will remain in effect for the duration of your participation.
  • 6.2. Termination: You may terminate your participation at any time by ceasing to use the Service. We may terminate your access to the Service at any time, for any reason, with or without notice.
  • 6.3. Effect of Termination: Upon termination, the license granted to you in these Terms will immediately cease. You must promptly cease all use of the Service. The sections of these Terms that by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

7. General Provisions

  • 7.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles.
  • 7.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and KineticLoom concerning the Service.
  • 7.3. Changes to Terms: We reserve the right to modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email, providing a notice through the Service, or updating the “Last Updated” date at the beginning of these Terms. Your continued use of the Service will confirm your acceptance of the revised Terms.
  • 7.4. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced to the fullest extent under law.
